Terms of Service

PLEASE READ THESE TERMS CAREFULLY. They include a binding arbitration clause and a class-action waiver (Section 19) that affect your legal rights. By using the Service you agree to these Terms.
1. Acceptance & eligibility
These Terms of Service ("Terms") form a binding agreement between you ("you", "user") and TokenShield AI, LLC, a Delaware limited liability company ("TokenShield", "we", "us"). By accessing or using our website, bot, dashboards, APIs, or any other product (collectively, the "Service"), you accept these Terms and our Privacy Policy. If you do not agree, do not use the Service. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. You represent that you have the authority to bind any organization on whose behalf you use the Service.
2. Definitions
- "Service" — the TokenShield platform, bot, websites, APIs, and related materials.
- "Owner" — a user who creates a project and connects a Telegram community.
- "Member" — a participant in a Telegram community connected to the Service.
- "Content" — any information submitted to or generated through the Service, including project info, reports, feedback, and AI outputs.
- "Scores" — community metrics computed and surfaced by the Service.
3. Accounts
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us promptly via the Feedback pageof any suspected unauthorized use. We may suspend or terminate accounts that violate these Terms, are inactive, or pose risk to the Service or other users.
4. Service description
The Service provides informational community analytics for crypto projects, including observed Telegram activity, computed Scores, AI-generated summaries, and member reporting tools. The Service is informational only and does not create any fiduciary, advisory, broker, dealer, or other regulated relationship.
5. Not financial, legal, tax, or investment advice
Nothing in the Service is financial, legal, tax, accounting, or investment advice. Scores, AI summaries, signals, and any content surfaced by the Service do not constitute a recommendation to buy, sell, hold, or trade any token, asset, or security. Cryptocurrency is high-risk; you may lose all of your funds. You alone are responsible for your decisions.
6. AS-IS / AS-AVAILABLE; no warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOKENSHIELD DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE. TOKENSHIELD DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, ACCURATE, COMPLETE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY SCORE, AI OUTPUT, OR SIGNAL IS ACCURATE, RELIABLE, OR CURRENT.
7. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOKENSHIELD AND ITS OFFICERS, MEMBERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS, OR CRYPTOCURRENCY ASSETS, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TOKENSHIELD'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO TOKENSHIELD IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100. THE FOREGOING LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY AND SHALL SURVIVE TERMINATION OF THESE TERMS.
Some jurisdictions do not allow exclusion of certain warranties or limitations of liability, so some of the above may not apply to you to the extent prohibited by law. In such cases our liability is limited to the maximum extent permitted.
8. Indemnification
You will defend, indemnify, and hold harmless TokenShield and its officers, members, employees, agents, and affiliates from any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your Content (including project information, links, reports, and feedback you submit); (b) your use or misuse of the Service; (c) your violation of these Terms or any law; (d) your violation of third-party rights, including intellectual property and privacy rights; and (e) your relationship with any community members or third parties.
9. Third-party services & content
The Service relies on or interoperates with third parties including Telegram, AI/LLM model providers, payment processors, and on-chain data sources. TokenShield does not control these services and is not responsible for their availability, accuracy, terms, or content. Content submitted by Owners (project information, official links, contract addresses) and Content submitted by Members (reports, feedback) is not adopted, verified, or endorsed by TokenShield. Public Trust Pages display aggregate signals and Owner-submitted information; we make no representation as to their accuracy.
10. AI outputs
AI-generated outputs (including /ask responses and trust summaries) are produced by large language models and may be inaccurate, incomplete, out-of-date, or fabricated ("hallucinated"). AI outputs are not advice. You must independently verify any information from AI outputs before relying on it.
11. Scores
Scores are observed community signals computed from data the Service collects. Scores are not endorsements, certifications, ratings, or guarantees of legitimacy, safety, or suitability of any project, token, or community. Score methodology and confidence thresholds may change without notice.
12. User-generated content & reports
You retain ownership of Content you submit. You grant TokenShield a worldwide, royalty-free, sublicensable license to host, store, reproduce, process, display, and otherwise use your Content as necessary to operate, secure, and improve the Service. TokenShield does not adopt or endorse user-submitted Content and may remove, restrict, or decline to publish Content at its sole discretion. Reports are signals provided by users and do not represent findings or conclusions by TokenShield.
13. Acceptable use
You agree not to:
- Use the Service to engage in fraud, market manipulation, money laundering, impersonation, harassment, or any illegal activity.
- Submit false project information or impersonate another project, team, or person.
- Submit malicious or knowingly false reports.
- Scrape, crawl, reverse-engineer, decompile, or otherwise extract Service data outside documented APIs.
- Interfere with, overload, or attempt to disrupt the Service, including bypassing rate limits.
- Perform security testing or vulnerability research against the Service without our prior written authorization.
- Use the Service in violation of export controls, sanctions, or any applicable law.
Violation may result in immediate suspension or termination.
14. Intellectual property
TokenShield and its licensors own all rights in the Service, including the platform, code, Scores methodology, designs, trademarks, and documentation. No license is granted except as expressly stated in these Terms.
15. Fees, billing, and refunds
Paid plans are billed through Stripe and renew automatically until cancelled. Upgrades take effect immediately; downgrades take effect at the end of the current billing period. All fees are non-refundable, and TokenShield does not pro-rate refunds for partial billing periods, cancellations, or downgrades, except where required by law. If a payment fails, the plan may downgrade to the Free tier and paid features may be paused.
16. Modifications
TokenShield may modify the Service or these Terms at any time. Material changes will be communicated in-product or on the Service. Your continued use after changes become effective constitutes acceptance.
17. Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Subject to Section 18, the state and federal courts located in Delaware will have exclusive jurisdiction over any dispute not subject to arbitration.
18. Mandatory binding arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a "Dispute") shall be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and, where applicable, its Consumer Arbitration Rules. The seat of arbitration shall be Wilmington, Delaware, USA. Arbitration shall be conducted by a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction. Notwithstanding the foregoing, either party may bring an individual action in small-claims court for Disputes within that court's jurisdiction, and either party may seek injunctive or equitable relief in court to protect intellectual property rights.
19. Class-action and jury-trial waiver
YOU AND TOKENSHIELD AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING. YOU AND TOKENSHIELD ALSO WAIVE ANY RIGHT TO A JURY TRIAL.
20. 30-day opt-out of arbitration
You may opt out of the arbitration and class-waiver provisions in Sections 18 and 19 by sending a written notice to TokenShield via the Feedback page within thirty (30) days after you first accept these Terms. The notice must include your name, account email, and a clear statement that you opt out. Opt-out does not affect any other part of these Terms.
21. Force majeure
TokenShield is not liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, internet or telecommunications failures, third-party service outages, or government action.
22. Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.
23. Severability, entire agreement, no waiver
If any provision is held unenforceable, the remainder of these Terms remains in effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and TokenShield regarding the Service and supersede prior agreements on the subject. Failure to enforce any right is not a waiver.
24. Notices
We may send notices to you via the Service or to the email associated with your account. You must send notices to us via the Feedback page, which is our official contact channel.
25. DMCA & copyright complaints
If you believe your copyrighted work has been infringed through the Service, submit a notice via the Feedback page with: (a) identification of the copyrighted work; (b) identification of the infringing material and its location; (c) your contact information; (d) a statement of good-faith belief that the use is not authorized; (e) a statement, under penalty of perjury, that the information is accurate and you are authorized to act on the owner's behalf; and (f) your physical or electronic signature. We will terminate accounts of repeat infringers in appropriate circumstances.
26. Export controls & sanctions
You represent that you are not located in, under the control of, or a national or resident of any country or person subject to U.S. trade sanctions or export restrictions, and you will comply with all applicable export and sanctions laws when using the Service.
27. Contact
For any matter under these Terms — including legal notices, DMCA complaints, and privacy requests — use the Feedback page. It is the official and sole contact channel.
These Terms reflect common SaaS practices but are not a substitute for advice from a licensed attorney.
